DRIVEVIA FLEET SERVICES AGREEMENT This Fleet Services Agreement ("Agreement") is entered into between Purplic Global LLC, operator of the DriveVia platform ("DriveVia"), and the fleet or rental company identified at registration ("Fleet," "you"). This Agreement supplements and incorporates the DriveVia Terms of Service. 1. ROLE OF DRIVEVIA DriveVia provides a marketplace platform through which Fleet may post requests to relocate vehicles it owns or has legal right to relocate ("Vehicles") and receive offers from independent Providers. DriveVia is not a party to the actual relocation of any Vehicle. The contract for each relocation forms directly between Fleet and the Provider who accepts it (a "Mission"). DriveVia does not select, supervise, direct, or control how a Provider performs a Mission, and bears no responsibility or liability for the relocation itself. 2. FLEET OBLIGATIONS - Fleet represents it owns each Vehicle posted, or has full legal authority to arrange its relocation, and that the Vehicle is validly titled, registered, and legally operable. - Fleet must provide accurate pickup/delivery locations, vehicle information, and handling instructions at posting. - Fleet must fund the agreed Mission amount in advance through the Platform before a Provider begins performance. - Fleet must maintain valid liability insurance covering the Vehicle's operation. - Fleet must document Vehicle condition (photos) at handoff and review delivery photos promptly. 3. FEES AND PAYMENT DriveVia charges a disclosed platform fee deducted from the funded amount. Funds are held via Stripe Connect and released to the Provider following confirmed delivery and the applicable holding period, during which either party may raise an issue through the Dispute Center. 4. VEHICLE CONDITION, LOSS, AND DAMAGE As between Fleet and Provider, responsibility for loss or damage to a Vehicle during a Mission is exclusively theirs to resolve, informed by pickup/delivery condition documentation. DriveVia's Dispute Center helps document and facilitate resolution of such issues but DriveVia does not adjudicate liability, does not insure the Vehicle, is not a party to any claim, and assumes no responsibility for the outcome. 5. INSURANCE Fleet is solely responsible for maintaining its own insurance policy in force during the Mission, and for confirming with its carrier whether that policy extends to a Provider operating the Vehicle with permission, or whether additional coverage is needed. DriveVia does not provide, arrange, or warrant any insurance coverage, and bears no responsibility for any gap in coverage between Fleet and Provider. 6. FLEET'S RELATIONSHIP TO PROVIDERS Providers are independent contractors who contract directly with Fleet for each Mission, and are not employees, agents, or subcontractors of DriveVia. 7. PROHIBITED USES Fleet shall not post stolen, unregistered, or illegally modified vehicles, or circumvent the Platform's payment system to avoid fees. 8. SUSPENSION AND TERMINATION DriveVia may suspend or terminate access for breach, fraud, or repeated disputes indicating misuse. Obligations for Missions already funded or in progress survive termination. 9. INDEMNIFICATION Fleet agrees to indemnify DriveVia and Purplic Global LLC from claims arising from Fleet's breach, the condition/ownership/legal status of any Vehicle, any accident/injury/theft/damage from a Mission, or Fleet's violation of law. 10. LIMITATION OF LIABILITY; DISPUTE RESOLUTION; GOVERNING LAW The limitation of liability, binding arbitration, class action waiver, and Florida governing-law provisions of the DriveVia Terms of Service are incorporated by reference and apply in full.
