Platform Terms of Service

DRIVEVIA PLATFORM TERMS OF SERVICE (DRAFT β NOT YET LEGALLY REVIEWED)
These Terms of Service ("Terms") govern access to and use of the driveviahq.com platform (the "Platform"), operated by Purplic Global LLC, a Florida limited liability company ("DriveVia," "Company," "we," "us," or "our"). By creating an account or otherwise using the Platform, you ("User," "you") agree to be bound by these Terms.
1. WHAT DRIVEVIA IS β AND IS NOT
DriveVia operates an online marketplace that allows vehicle fleet and rental companies ("Fleets") to post requests to relocate vehicles between locations ("Relocation Requests"), and allows independent, verified drivers ("Providers") to browse, offer on, and accept those Relocation Requests (each accepted job, a "Mission"). DriveVia's role is limited to providing the technology platform, facilitating introductions between Fleets and Providers, and facilitating payment between them.
DriveVia expressly is NOT, and nothing in these Terms or on the Platform shall be construed to make DriveVia:
- A motor carrier, common carrier, contract carrier, transportation company, or drive-away/tow-away operator;
- An owner, lessor, bailee, or custodian of any Vehicle at any time;
- The employer, principal, agent, or joint employer of any Provider;
- A party to the relocation service itself, which is performed directly between the Fleet and the Provider;
- An insurer, guarantor, or warrantor of any Vehicle, User, Mission, or outcome;
- A background-check agency, motor vehicle record bureau, or licensing authority (DriveVia relies on third-party verification providers).
2. ELIGIBILITY AND ACCOUNTS
You must be at least 18 years old and able to form a binding contract. Fleets must be validly formed business entities in good standing. Providers must hold a valid, unexpired driver's license issued by a U.S. state, be legally authorized to work in the United States, and meet DriveVia's then-current eligibility criteria. You are responsible for the confidentiality of your account credentials and all activity under your account.
3. NATURE OF RELATIONSHIPS FORMED ON THE PLATFORM
Each Mission creates a direct contractual relationship solely between the Fleet and the Provider for that Mission. DriveVia is not a party to that underlying relocation arrangement.
4. VERIFICATION OF PROVIDERS
DriveVia uses reasonable efforts, including third-party services, to verify that Providers hold a valid driver's license, carry auto insurance, and have cleared a background check, before allowing them to accept Missions. This verification is a good-faith screening process, not a guarantee.
5. PAYMENTS
All payments are processed through Stripe, Inc. and Stripe Connect. Fleets must fund a Mission's agreed amount before a Provider begins performance. Funds are released to the Provider following confirmed delivery and the applicable holding period. DriveVia charges a disclosed platform fee deducted from the transaction.
6. USER CONDUCT
Users agree not to provide false information, circumvent the Platform to avoid fees, use the Platform unlawfully, harass other Users, or misrepresent a Vehicle's condition or documentation.
7. DISCLAIMERS
THE PLATFORM IS PROVIDED "AS IS." DRIVEVIA DISCLAIMS ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW AND DOES NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION.
8. LIMITATION OF LIABILITY
DRIVEVIA'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF THE PLATFORM FEES RECEIVED FOR THE TRANSACTION AT ISSUE, OR $100.
9. INDEMNIFICATION
You agree to indemnify and hold harmless DriveVia and Purplic Global LLC from claims arising from your use of the Platform, breach of these Terms, or participation in any Mission.
10. INSURANCE
DriveVia does not provide insurance coverage for Vehicles, Fleets, or Providers. Each party is independently responsible for its own coverage.
11. DISPUTE RESOLUTION β BINDING ARBITRATION; CLASS ACTION WAIVER
Disputes are resolved by binding individual arbitration under AAA rules, except small-claims-eligible matters. YOU AND DRIVEVIA WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. You may opt out within 30 days of first accepting these Terms by written notice to driveviahq@gmail.com.
12. TERM AND TERMINATION
DriveVia may suspend or terminate accounts for breach, fraud, or safety concerns. Obligations for Missions in progress survive termination.
13. GOVERNING LAW
These Terms are governed by the laws of the State of Florida, except where the Federal Arbitration Act applies to Section 11.
14. MISCELLANEOUS
If any provision is unenforceable, the rest remains in force. This document, together with the Fleet Services Agreement and Provider Company Agreement, is the entire agreement regarding the Platform.
